Supervisory Board

The members of the supervisory board are, on nomination of the supervisory board, (re)appointed by the general meeting of shareholders for a period of 4 years.

The general meeting of shareholders and the works council may recommend persons to the supervisory board for election as members of the supervisory board.

The members of the supervisory board are:

Peter Herbert, chairman

Peter Herbert (1955) was appointed as chairman of the supervisory board of GE Artesia in 2011.

 

Peter Herbert is currently Chief Executive Officer of GE Capital’s European Mortgage & Restructuring Group, a business with assets of ~$40 billion across 8 European geographies. He joined GE Capital in 2008 as Chairman & Chief Executive Officer of GE Money Bank, Czech Republic, based in Prague.

 

He has 35 years of experience in banking and financial services internationally, gained mainly with the UK-based global financial institution Barclays. Senior positions held there included CFO of two of the Group’s major operating divisions, Barclaycard and the UK Banking Division. From 2000-2003 he was Group Head of Strategy for Barclays, and from 2003-2006 he was Managing Director, International of the Group’s credit card division, Barclaycard. During his career with Barclays he lived and worked in South Africa and North America as well as leading international businesses.

Before joining GE, Peter Herbert was with the National Bank of Kuwait from 2007 – 2008 as a Deputy Group General Manager with responsibility for the International Division.

 

Education

He comes from London, England. He was educated in Kent and graduated in banking.

 

Andrew Bull

Andrew Bull (1972) was appointed to the supervisory board of GE Artesia Bank in 2009.

Andrew Bull is a dual qualified South African and English lawyer and in the past worked at DKB International plc and Clifford Chance LLP in the United Kingdom. In 2001 he joined GE Capital and until May 2011 held the position as General Counsel for GE Capital Global Banking, Western Europe, Russia and Latvia. In June 2011 he was appointed as the General Counsel for the GE Capital European Mortgage and Restructuring Group.  

Andrew Bull is a member of the risk committee of GE Artesia Bank.

Christoph Reimnitz

Christoph Reimnitz (1959) was appointed to the supervisory board of GE Artesia Bank in 2006.

He started his career at Treuhandanstalt in the United States and in Germany and also worked at UBS-Warburg Dillon Reed in Germany and the United Kingdom. In 1998 he joined GE Capital and has most recently held the position as the Head of Business Development for GE Capital EMEA. Since July 2011 he is heading Business Development and Strategy for GE Germany.

Christoph Reimnitz is a member of the audit committee of GE Artesia Bank.

Jan Zegering Hadders

Jan Zegering Hadders (1946) was appointed to the supervisory board of GE Artesia Bank in 2010.

During his professional career Jan Zegering Hadders worked for AMRO Bank, Postbank, NMB Postbank and ING Group. His last position was chairman of the board of ING Netherlands.

Jan Zegering Hadders is chairman of the audit committee and a member of the risk committee of GE Artesia Bank.

Dirk-Jan van Ommeren

Dirk-Jan van Ommeren (1950) was appointed to the supervisory board of GE Artesia Bank in May 2011. In addition to this he holds a position as chairman of the board of managing directors / executive director of Oranje-Nassau Groep B.V.
In the past Dirk-Jan van Ommeren worked at Amsterdam-Rotterdam Bank N.V., Westland/Utrecht Hypotheekbank N.V. and Amsterdamse Investeringsbank N.V.

Kelvin Jones

Kelvin Jones (1966) was appointed to the supervisory board of GE Artesia Bank in May 2011.
After starting his career with GE Insurance, Kelvin Jones switched over to GE Capital in 2003 and most recently has held the position as Chief Risk Officer for GE Capital Global Banking, Western Europe, Russia and Latvia.

Kelvin Jones is a member of the risk committee of GE Artesia Bank.

Committees

The supervisory board has three committees.

Audit committee

The audit committee’s role is to assist the supervisory board in its mission of supervising GE Artesia Bank activities and management in respect of the principles of corporate governance.

Remuneration committee
The remuneration committee is responsible for the monitoring of the implementation of the remuneration policy within the organization of GE Artesia Bank and make recommendations to the supervisory board on how to comply with a responsible remuneration policy. The remuneration committee is furthermore responsible for oversight of any changes required for the remuneration policy for and making recommendations on the required changes to the general meeting of shareholders after such recommendations have been deliberated by the supervisory board.

Risk committee
The role of the risk committee is to advise the supervisory board in its mission of supervising GE Artesia Bank’s commercial activities and management in respect of the principles of enterprise risk management.
